Terms of Service

These Terms of Service govern your access to and use of SoraStats. By accessing or using any part of the service, you accept these Terms in full.

1. Acceptance of Terms

By accessing or using SoraStats, you agree to these Terms. If you do not agree, do not use the service.

2. Eligibility and Accounts

• You must comply with applicable laws in your jurisdiction.
• You are responsible for account security and activity under your account.
• You must provide accurate account and billing information.

3. Service Access and License

SoraStats grants you a limited, non-exclusive, non-transferable license to use the service for personal or internal business use, subject to these Terms.

4. Acceptable Use

You agree not to:

• violate laws or third-party rights,
• attempt unauthorized access,
• abuse, reverse engineer, or disrupt the service,
• scrape data in ways that violate technical or contractual restrictions,
• use the platform to build a directly competing product through prohibited automated extraction,
• submit data retrieval or export requests for accounts you do not own or control,
• misrepresent your identity or affiliation when requesting data services,
• redistribute, publicly republish, or sublicense any bulk data or exports obtained from SoraStats,
• use data obtained from SoraStats to train, fine-tune, or develop machine learning or artificial intelligence models.

5. Subscriptions and Billing

• Some features require a paid subscription.
• Billing and renewals are handled by the payment provider shown at checkout.
• Plan changes, cancellations, and access windows follow the billing terms presented in-product.
• **Billing cycle**: Subscription fees are charged at the beginning of each billing period (monthly or annual). Access to paid features begins immediately upon payment and remains active through the end of the current billing period, regardless of usage.
• **All subscription fees are non-refundable by default.** Upon cancellation, you retain full access to paid features until the end of your current billing period. No partial, prorated, or unused-time refunds will be issued unless required by applicable law or expressly approved by SoraStats at its sole discretion.
• **Refund requests**: If you are dissatisfied with the service or believe a charge was made in error, you must contact SoraStats directly at info@sorastats.com **before** initiating any dispute or chargeback with your payment provider or financial institution. We review refund requests on a case-by-case basis and will respond within a reasonable timeframe. Contacting us directly is the only supported path to requesting a refund.
• **Chargebacks and payment disputes**: Initiating a chargeback or payment dispute directly with your bank, card issuer, or payment provider (including Polar.sh or any other payment processor) without first contacting SoraStats and allowing a reasonable opportunity for resolution is not permitted under these Terms. If a chargeback is filed without prior contact, SoraStats reserves the right to: (a) suspend or terminate account access pending resolution of the dispute; (b) submit all relevant records and documentation to the payment processor in support of contesting the chargeback; and (c) seek recovery of any dispute or processing fees incurred as a result, to the extent permitted by applicable law. Nothing in these Terms limits any rights you may have under applicable consumer protection law or card network rules.

6. Publicly Available Data and Analytics

SoraStats provides independent analytics, rankings, and insights based on publicly available information.

• **Legal basis**: Processing of publicly available data is conducted in accordance with applicable data protection laws, including where permitted under legitimate interest or where the data has been manifestly made public by the data subject.
• **Scope**: For the purposes of analytics and ranking services, SoraStats processes data that has been made publicly available by its creators or by the platforms on which it appears. SoraStats does not circumvent access controls or authentication mechanisms to obtain data for analytics purposes.
• **Transformative output**: Analytics, rankings, and statistical aggregations produced by SoraStats are independently created transformative works that add new meaning, context, and utility beyond the underlying data. The underlying publicly available data remains subject to the rights of its original creators.
• **Accuracy**: While we strive for accuracy, publicly available data may change, become unavailable, or be incomplete. SoraStats does not guarantee the completeness, timeliness, or accuracy of any data displayed.
• **Distinction from export services**: This section applies to SoraStats's analytics, rankings, and statistical services. Data export and retrieval services described in §7 are governed separately and operate under user authorization, not solely on the basis of public availability.

7. Data Export and Retrieval Services

SoraStats may offer services that assist content creators and account holders in obtaining, organizing, and preserving materials associated with their own content or accounts.

• **Creator data portability**: These services exist to support content creators' ability to access, obtain copies of, and preserve their own creative works and associated data — rights recognized under applicable data protection and consumer protection frameworks. SoraStats provides these services exclusively to creators and authorized account holders, not for content owned or controlled by third parties. These services do not override, supersede, or modify any terms, conditions, or restrictions that may apply between the user and any third-party platform.
• **Authorization and grant of agency**: By submitting a data retrieval or export request (including via forms, claim pages, or any other submission method), you: (a) represent and warrant that you are the original creator of, or have authorized controller of, the account or content for which you are requesting data; (b) represent that you have the right to access and obtain copies of the requested materials as the creator or authorized controller; (c) grant SoraStats a limited, revocable, non-exclusive authorization to assist you in compiling, organizing, and delivering the requested materials on your behalf; and (d) acknowledge that SoraStats acts solely as your service provider and authorized agent in fulfilling your request.
• **Verification and refusal**: SoraStats may require identity or account-ownership verification before processing any request. If verification is insufficient or cannot be completed, SoraStats may refuse, delay, or cancel the request at its sole discretion. SoraStats may retain authorization records, verification records, delivery records, and related communications for compliance, audit, and dispute resolution purposes.
• **Scope of deliverables**: The specific materials available through export services vary by request and depend on what SoraStats is able to compile at the time of processing. Deliverables may include various forms of content and data associated with the requested account.
• **Nature of fees**: Any fees charged in connection with export and retrieval services are service fees for the time, effort, and resources involved in processing requests. They do not constitute licensing fees for any underlying content, nor do they convey any intellectual property rights beyond the limited use permissions described herein.
• **Use restrictions**: You may use exported materials for your own personal archival, portfolio backup, and internal record-keeping purposes. You may not: publicly republish exported materials in bulk, redistribute or sublicense them to third parties, use them to train or develop AI/ML models, or use them to create a competing service. Reasonable personal sharing (e.g., your own content on your personal website or social media) is permitted.
• **Third-party platform restrictions**: You acknowledge that third-party platforms may impose their own terms, restrictions, or conditions on content access, download, re-use, export, public display, or automated processing. SoraStats makes no representation or warranty regarding the relationship between you and any third-party platform. If SoraStats determines, in its sole discretion, that a request may conflict with applicable law, third-party platform terms, intellectual property rights, privacy rights, or other rights, SoraStats may refuse, limit, delay, or cancel the request.
• **No custody or ongoing hosting**: SoraStats provides export services as one-time deliveries unless otherwise specified. Following delivery, SoraStats may delete exported files, temporary caches, and processing copies after a reasonable retention period. You are responsible for timely downloading and safekeeping of delivered materials. SoraStats does not assume any long-term hosting, storage, or custodial obligation unless expressly stated in a separate written agreement.
• **Delivery format and timing**: Materials are provided in the format and timeframe specified at the point of request. SoraStats does not guarantee specific delivery dates or formats.
• **As-is delivery**: Exported materials are provided "as is" without warranty of completeness, accuracy, or fitness for any particular purpose. Materials may reflect point-in-time snapshots and may not represent current states of source platforms.
• **No guaranteed availability**: SoraStats reserves the right to modify, suspend, or discontinue data export and retrieval services at any time without prior notice.
• **Compliance and cooperation**: SoraStats operates in good faith and in compliance with applicable law. SoraStats will respond to valid legal process and will consider legitimate inquiries from rights holders regarding export services. SoraStats reserves the right to modify, restrict, or suspend any aspect of its services in order to maintain compliance with applicable legal or contractual obligations.

8. User Representations and Warranties

By using SoraStats, you represent and warrant that:

• All information you provide (including account information, data requests, and claim submissions) is truthful and accurate.
• You have the legal right and authority to make any data retrieval or export request you submit, and you will cooperate with any verification procedures SoraStats may require.
• You will not use any data or materials obtained through SoraStats in a manner that violates applicable laws, infringes third-party rights, or breaches these Terms.
• You are solely responsible for how you use data and materials obtained from SoraStats, including any exported or retrieved materials, and for ensuring that your use complies with any applicable third-party platform terms.
• You acknowledge that third-party platforms may impose terms, restrictions, or conditions that apply to content originating from those platforms, and that SoraStats does not assume responsibility for your compliance with such terms.
• You acknowledge that the availability, scope, and deliverability of export services depend on technical feasibility, source availability, and applicable legal and contractual constraints at the time of processing.

9. Intellectual Property

• The SoraStats service, design, software, and derived analytics are owned by SoraStats and its licensors.
• You retain rights to your own submitted content.
• You grant SoraStats a limited right to process your submitted content to operate, secure, and provide the service.
• Publicly available data processed by SoraStats remains subject to the rights of its original creators.
• Materials delivered through export services may contain content subject to third-party intellectual property rights. SoraStats does not transfer, assign, or grant any rights held by third parties in such materials. Your use of exported materials is limited to the purposes described in §7.

10. Content Removal and Takedown

• **Creator removal requests**: If you are a content creator and wish to have your publicly available data removed from SoraStats, you may submit a removal request through our official support channels. We will process valid requests in a reasonable timeframe.
• **Copyright infringement notices**: If you believe content displayed on or delivered through SoraStats infringes your copyright, you may submit a written notice to our designated agent. Your notice must include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (c) your contact information; (d) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. SoraStats will respond to valid notices in accordance with applicable law, including the Digital Millennium Copyright Act where applicable.
• **Counter-notification**: If you believe material was removed or disabled in error, you may submit a counter-notification containing your contact information, identification of the removed material, a statement under penalty of perjury that you have a good-faith belief the removal was a mistake, and consent to jurisdiction. SoraStats will process counter-notifications in accordance with applicable law.
• **Repeat infringers**: SoraStats reserves the right to terminate the accounts of users who are repeat infringers.
• **Other removal requests**: SoraStats will consider good-faith removal requests from other parties on a case-by-case basis in accordance with applicable law.
• **Export-related takedowns**: If SoraStats receives a valid takedown or removal notice concerning materials that have been or are being prepared for export delivery, SoraStats may cancel, withhold, or recall the affected delivery without refund.

11. Indemnification

You agree to indemnify, defend, and hold harmless SoraStats, its operators, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your use of the service,
• your breach of these Terms,
• your violation of any applicable law or third-party right,
• any data retrieval or export request you submit, including any misrepresentation of ownership or authorization,
• your use, redistribution, or publication of data or materials obtained through SoraStats,
• any third-party claim arising from your use of exported materials,
• any claim by a third-party platform or rights holder arising from a data retrieval or export request you initiated, including claims that the request or resulting use violated that party's terms, policies, or rights.

12. Termination

We may suspend or terminate access for Terms violations, abuse, fraud, security risk, or legal requirements. SoraStats may also modify, restrict, or discontinue specific services or features if it receives a formal notice, legal demand, or request from a third-party platform or rights holder, or if SoraStats determines in good faith that continued operation may conflict with applicable law or third-party rights. You may stop using the service at any time. Upon termination, your license to use SoraStats and any exported materials under these Terms remains subject to the surviving provisions (including §4 use restrictions, §7 use restrictions, §11 indemnification, §13 disclaimer, and §14 limitation of liability).

13. Disclaimer

SoraStats will use commercially reasonable efforts to provide the service. However, the service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. SoraStats expressly disclaims all warranties including but not limited to merchantability, fitness for a particular purpose, accuracy, completeness, reliability, and non-infringement. SoraStats makes no warranty that data reflects current states of source platforms, that exported materials are complete, or that the service will be uninterrupted or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, SoraStats is not liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the service, including but not limited to damages arising from data inaccuracies, service interruptions, data export delays, or reliance on any information or materials provided through the service.

**In no event shall SoraStats's total aggregate liability for all claims arising out of or related to these Terms or the service exceed the greater of (a) the total fees paid by you to SoraStats in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).**

15. Dispute Resolution

• **Informal resolution first**: Before initiating any formal proceedings, you agree to contact SoraStats and attempt to resolve the dispute informally for at least thirty (30) days.
• **Governing law**: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
• **Binding arbitration (United States users)**: For users located in the United States, any dispute not resolved informally shall be resolved by binding arbitration administered under the rules of a nationally recognized arbitration provider, conducted in English, with the seat of arbitration in Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. **Exceptions**: Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims involving intellectual property infringement, unauthorized access, or data misuse. Claims eligible for small claims court in your jurisdiction of residence may be brought there.
• **Jurisdiction (international users)**: For users located outside the United States, any disputes not resolved informally shall be submitted to the exclusive jurisdiction of the state or federal courts located in Delaware, United States, unless otherwise required by mandatory consumer protection law in your jurisdiction of residence.
• **Class action waiver**: To the fullest extent permitted by law, all disputes shall be resolved on an individual basis only. You waive any right to participate in a class action, class-wide arbitration, or any other representative proceeding.

16. Third-Party Platform Notice

SoraStats is an independent service. It is not affiliated with, endorsed by, or sponsored by any third-party platform. SoraStats does not claim any license, partnership, or authorization from any third-party platform to operate its services unless expressly stated. References to third-party platforms, products, or services are for identification purposes only and do not imply any relationship or endorsement.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

18. Changes to Terms

We may update these Terms at any time. Material changes will be communicated through the service, by email, or by updating the date on this page. Continued use of the service after such notice constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the service.
